J&J Partners With Sail Biomedicines on In Vivo CAR-T for Autoimmune Disease, Holds Option to Acquire
Johnson & Johnson has entered a collaboration and equity investment agreement with Sail Biomedicines to advance in vivo CAR-T therapies for immune-mediated diseases, securing an exclusive option to acquire the company for $2.58 billion.
Johnson & Johnson announced strategic agreements and a collaboration with Sail Biomedicines, a biotechnology company developing in vivo CAR-T therapies for immune-mediated diseases.¹ J&J will collaborate with Sail to advance its lead immune-mediated disease program and broader platform technology, with incentives built in to expand the platform's application across additional therapeutic targets over time.¹ J&J will also make an equity investment in Sail and has been granted an exclusive option to acquire the company for $2.58 billion.¹
Under the terms of the agreements, J&J will make total initial payments of $785 million, including a $465 million equity investment, plus additional contingent payments of $140 million tied to development milestones.¹ Should J&J exercise its acquisition option, the company expects the agreements to dilute adjusted operational earnings per share and adjusted earnings per share by approximately $0.18 in 2026 and approximately $1.28 in 2027.¹ The transactions remain subject to applicable regulatory approvals and other customary conditions.¹

How does in vivo CAR-T differ from conventional CAR-T therapy?
Unlike traditional cell therapies, which require extracting a patient's T cells, genetically engineering them outside the body, and reinfusing them after lymphodepletion, Sail's platform is designed to reprogram a patient's immune cells directly within the body, with the stated goal of resetting the immune system to deliver durable disease control.¹ This in vivo approach is part of a broader wave of platforms attempting to eliminate the manufacturing complexity, cost, and treatment-center burden associated with conventional autologous and allogeneic CAR-T therapies, an approach also being pursued by companies
Why is J&J pursuing autoimmune disease specifically through this platform?
CAR-T therapies have historically been developed and approved for hematologic malignancies, where they work primarily by depleting B cells, the same cell population implicated in driving autoantibody production in autoimmune diseases such as lupus.⁴ That mechanistic overlap has driven growing industry interest in applying CAR-T-based B-cell depletion to autoimmune disease, with in vivo delivery approaches like Sail's emerging as one of several competing strategies alongside ex vivo autologous and allogeneic formats.⁴
